These Terms of Service (“Terms”) are between you and Proficient Plus LLC (“Proficient Plus,” “we,” “us,” or “our”). These Terms govern your access to and use of the Proficient Plus public website at proficient-plus.com, including related public pages, forms, informational resources, and direct website interactions that reference these Terms.

By accessing or using the website, you agree to these Terms. If you do not agree, you should not use the website.

These Terms are intended primarily to govern the public Proficient Plus website. They do not replace or modify any separate written agreement governing a paid product, subscription, professional service, implementation, statement of work, order form, data processing agreement, service-level agreement, or other executed agreement. Where a separate executed agreement applies to a particular product or service, that agreement governs its subject matter.

Website purpose

The Proficient Plus website provides information about Proficient Plus LLC; professional and technology services; digital transformation; custom application development; IT and cybersecurity services; IT audit and assurance; risk advisory services; training; Proficient Plus products, including SanctuaryHub; security and trust information; company resources; consultations and enquiries; and other business activities offered by Proficient Plus.

The website may also provide forms or links through which you can request additional information; request a consultation; contact Proficient Plus; express interest in a product or service; subscribe to certain communications; or access product-specific websites or resources.

Eligibility and lawful use

You may use the website only in accordance with applicable law and these Terms. No professional engagement created by website use

Accessing the website, submitting a form, requesting information, subscribing to communications, or communicating with Proficient Plus through the website does not by itself create a client relationship; a consulting engagement; an advisory relationship; a fiduciary relationship; an attorney-client relationship; an audit engagement; a cybersecurity services engagement; a contractual commitment to provide services; or any other professional-services relationship.

A professional or commercial relationship is created only through an applicable written agreement, order form, statement of work, subscription agreement, or other authorized arrangement.

Service descriptions

Information about Proficient Plus services on the website is provided for general informational and business-development purposes. Descriptions of services may include examples of capabilities, approaches, deliverables, technologies, controls, or areas of expertise.

Unless expressly stated in an executed agreement, website descriptions do not constitute guaranteed deliverables, timelines, service levels, outcomes, certifications, results, warranties, or commitments. The exact scope, responsibilities, fees, timelines, deliverables, dependencies, assumptions, warranties, and service levels for any engagement are governed by the applicable written agreement.

Product-specific terms

Proficient Plus develops and operates software products and technology services, including SanctuaryHub. Products may be governed by separate Terms of Service; Privacy Policies; subscription agreements; order forms; acceptable-use requirements; data processing agreements; security terms; service-level commitments; or other product-specific conditions. Where product-specific terms apply, those terms govern use of that product.

SanctuaryHub

SanctuaryHub is a Proficient Plus product designed to support church and ministry administration and related activities. Use of SanctuaryHub is governed by the applicable SanctuaryHub Terms, Privacy Policy, subscription terms, and other product-specific agreements or notices. Communications

When you provide contact information to Proficient Plus, we may communicate with you in connection with your enquiry; a consultation request; a requested service; an existing business relationship; product onboarding; account administration; customer support; application or service notifications; security or operational matters; requested updates; or communications to which you have separately subscribed.

The method and frequency of communications may depend on the nature of your relationship with Proficient Plus and the preferences you have selected. Where consent is required, we will seek to obtain consent appropriate to the type of communication involved.

SMS communications

Where you separately opt in to receive SMS communications from Proficient Plus LLC or an applicable Proficient Plus product, we may send you text messages relating to the purposes disclosed when you subscribed. Depending on the applicable communication program, SMS messages may include account notifications; onboarding communications; application notifications; service-related updates; administrative notifications; security alerts; support communications; requested reminders; business communications; and other messages specifically disclosed when you provide consent.

Message frequency may vary. Message and data rates may apply according to your mobile carrier and service plan. You may opt out of applicable SMS communications at any time by replying STOP to a message or using another opt-out method made available to you. Where supported, you may reply HELP for assistance or contact Proficient Plus using the information provided in these Terms.

Consent to receive SMS communications is voluntary and is not a condition of purchasing Proficient Plus products or services unless expressly disclosed for a particular optional feature that requires SMS functionality. If you opt out, we may retain limited information necessary to record and honor your opt-out preference. Wireless carriers are not responsible for delayed or undelivered messages. SMS availability may depend on your carrier, device, geographic location, and other technical factors outside Proficient Plus’s control.

Email communications

Proficient Plus may send emails related to enquiries and consultation requests; requested services; customer onboarding; account administration; product or application notifications; support matters; security or service information; events; administrative communications; and promotional or marketing communications where permitted.

Where an email is promotional or marketing in nature, you may unsubscribe using the unsubscribe method provided in the email. Certain transactional, account, security, legal, or service-related communications may continue where necessary to provide a requested service or administer an existing relationship. Acceptable website use

When using the website, you agree not to use the website for an unlawful, fraudulent, or abusive purpose; attempt to gain unauthorized access to any system, account, infrastructure, or data; bypass or attempt to defeat security controls; interfere with the operation, integrity, or availability of the website; introduce malware, malicious code, harmful scripts, or other destructive content; perform unauthorized scanning, penetration testing, probing, or exploitation; overload or intentionally degrade the website or supporting infrastructure; use automated tools to scrape, harvest, or extract content except where expressly permitted; harvest email addresses, telephone numbers, or other contact information; impersonate another person or organization; submit false, misleading, fraudulent, or unauthorized information; use the website to infringe intellectual property, privacy, confidentiality, contractual, or other legal rights; attempt to reverse engineer website components except where such restriction is prohibited by applicable law; or assist another person in engaging in prohibited activity.

Use of the website does not transfer ownership of any Proficient Plus intellectual property.

Subject to these Terms, Proficient Plus grants you a limited, non-exclusive, revocable right to access and use the public website for lawful informational and business purposes. You may not reproduce, redistribute, modify, republish, commercially exploit, or create derivative works from website content except with written permission from Proficient Plus; where expressly permitted on the website; or as permitted by applicable law. If you believe you have identified a potential security issue involving Proficient Plus, you should report it using an authorized security-reporting or contact channel and must not exploit the issue or access information beyond what is reasonably necessary to identify it.

Nothing in this section disclaims or limits services Proficient Plus expressly agrees to provide under an executed agreement.

Limitation of liability

To the maximum extent permitted by applicable law, Proficient Plus LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from your use of, or inability to use, the public website. This may include loss of profits; business opportunities; goodwill; data; or anticipated savings, where such damages arise from use of the public website rather than a separately contracted Proficient Plus service.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Liability arising from a product, subscription, consulting engagement, implementation, or other paid service is governed by the applicable executed agreement.

Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, or expenses arising from your unlawful or unauthorized use of the public website or your material violation of these Terms. This section does not require a consumer to indemnify Proficient Plus where such an obligation would be prohibited by applicable law.

Suspension or restriction of access

Proficient Plus may restrict, suspend, block, or terminate access to the public website where reasonably necessary to protect security; prevent abuse or fraud; respond to unlawful activity; address a material violation of these Terms; protect Proficient Plus or third parties; or maintain the reliability of the website. We are not obligated to provide advance notice where immediate action is reasonably necessary to protect security or systems.

Changes to these Terms

We may update these Terms from time to time to reflect changes in our website; products or services; communications practices; legal or regulatory requirements; security practices; or business operations. When we update these Terms, we will revise the Last updated date shown above. Where required by law or where a change materially affects applicable rights, we may provide additional notice. Governing arrangements

Where you have an executed agreement with Proficient Plus, that agreement governs matters within its scope, including any applicable governing law; venue; dispute-resolution procedure; arbitration requirement; or jurisdictional provision. For use of the public website where no separate agreement applies, applicable legal rights and obligations are determined under applicable law. Nothing in these Terms is intended to prevent the application of mandatory consumer protections or other rights that cannot lawfully be waived.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law. An unenforceable provision may be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended purpose where permitted by law.

Entire agreement for website use

These Terms, together with the Privacy Policy and any notices expressly incorporated into them, constitute the agreement governing use of the public Proficient Plus website where no separate agreement applies. They do not replace any separate executed agreement governing Proficient Plus products or professional services.
